Master Service Agreement | August 28, 2026

Service terms in one place.

Current Master Service Agreement for J.D. Clean Slate Services | DBA of Sorta Informed LLC. This is the full agreement referenced from FAQs, estimates, booking confirmations, service records, and approval flows.

1. Governing Logic and Use of This Agreement

This Master Service Agreement is the universal client-facing agreement for J.D. Clean Slate. It is intended to govern booking, payment, cancellations, scope control, damage reporting, disclosure duties, client preparation, communication, media use, privacy, and other core operating rules across the business.

This Agreement applies whenever a client requests an estimate, books service, signs electronically, authorizes payment, uses the website, accepts a recurring setup, permits J.D. Clean Slate to begin work, or otherwise manifests assent to a quoted or scheduled service.

This Agreement is meant to work together with:

  • the approved estimate,
  • booking confirmation,
  • invoice scope,
  • recurring setup,
  • commercial proposal,
  • service schedule,
  • work order,
  • or other written transaction record tied to the booked service

The transaction-specific record identifies what the client is actually buying. This Agreement provides the governing rules for the relationship.

If J.D. Clean Slate later signs a separate written addendum for a specific account, project, or exception, that written addendum controls only for the narrower issue it specifically addresses. All other parts of this Agreement remain in effect.

These Terms, the approved estimate, and any Company-issued service agreement, work order, booking confirmation, recurring setup, proposal, or written addendum control over conflicting payment, approval, reimbursement-delay, or contract terms contained in a client portal, purchase order, vendor onboarding form, contractor paperwork, or similar third-party document unless the Company signs a separate written addendum expressly accepting different terms.

Nothing in this Agreement is intended to waive any non-waivable rights under applicable law.

2. Order of Control

Unless a later written addendum expressly states otherwise, the order of control is:

  1. A separately signed written addendum created for a specific exception, project, or account
  2. The approved estimate, work order, booking confirmation, recurring setup, commercial proposal, or other transaction-specific Company record
  3. This Master Service Agreement

The approved estimate, work order, recurring setup, or booking confirmation controls the specific booked service category, property, timing, add-ons, exclusions, and approved pricing for the transaction.

3. Shared Definitions

3.1 Company

"Company," "we," "our," and "us" mean J.D. Clean Slate, a DBA of Sorta Informed LLC, an Arkansas limited liability company.

3.2 Client

"Client," "you," and "your" mean the person or entity requesting, booking, approving, or paying for service.

3.3 Premises

"Premises" means the home, garage, facility, or other approved service location where work is performed.

3.4 Booked Scope

"Booked Scope" means only the services, rooms, tasks, and add-ons specifically listed in the approved estimate, booking confirmation, invoice scope, recurring setup, proposal, work order, or written revision.

3.5 Estimate and Booking Models

The Company may quote or book services using either a time-block model or a service-specific calculated estimate model. A time-block service reserves a defined amount of technician labor and scheduling capacity; it does not guarantee completion of unlimited work or tasks outside the approved scope. A service-specific calculated estimate is based on the selected service category, square footage, condition answers, occupancy status, add-ons, and other information provided before booking.

3.6 Service Category

"Service Category" means the service family the Company determines is appropriate for the work. Current service categories include Foundations Recurring, Peace of Mind Deep Clean, Clean Slate Vacant Turnover, STR Furnished Turnover, Construction / Post-Renovation Final Clean, Garage Organization, Appliance Bundle Service, Commercial Maintenance, and Commercial Project Services.

3.7 Service-Ready Condition

"Service-Ready Condition" means a property in normal use where work areas are reasonably accessible, access works, pets are controlled where applicable, and the property does not present event-level, post-construction, hoarding-level, hazardous, or otherwise materially misrepresented conditions.

3.8 Recurring Maintenance Baseline

"Recurring Maintenance Baseline" means the normal condition required for Foundations Recurring service to work as maintenance rather than catch-up or reset cleaning. If the property materially exceeds that baseline, a deeper reset service may be required before recurring service begins or resumes.

3.9 Materially Changed Conditions

"Materially Changed Conditions" means actual on-site conditions that differ in a meaningful way from what was represented at booking. Examples include heavier buildup, more clutter, extra unquoted rooms or tasks, vacancy failure, undisclosed specialty materials, access problems, unusually heavy pet hair, and any other condition that changes labor, safety, pricing, product choice, liability exposure, or production planning.

3.10 Specialty Surfaces / Materials

"Specialty Surfaces / Materials" includes surfaces and finishes that require conservative handling or manufacturer-specific care. Examples include marble, limestone, slate, granite, quartz, quartzite, natural stone, delicate wood finishes, matte black fixtures, waxed or oiled finishes, specialty coatings, and other non-standard materials.

3.11 High-Value Items

"High-Value Items" means fine art, antiques, collectibles, fragile heirlooms, delicate crystal, museum-level pieces, sentimental keepsakes, or any property the Client identifies as fragile, valuable, irreplaceable, or "do not touch."

3.12 Custom Quote Service

"Custom Quote Service" means work that cannot be responsibly governed by standard flat-rate assumptions and must be structured case by case.

3.13 Card on File

"Card on File" means a payment method stored through the Company's approved software or payment-processing platforms for authorized charges tied to approved estimates, deposits, invoices, recurring billing, or late fees allowed by policy.

3.14 Commercial Account

"Commercial Account" means any client receiving services for business, rental, investment, management, real estate, institutional, organizational, or income-producing purposes.

3.15 Credit Terms

"Credit Terms" means payment terms extending beyond Due Upon Receipt as approved by the Company in writing. Credit Terms are discretionary and may be modified, suspended, revoked, or declined by the Company.

3.16 Past Due Balance

"Past Due Balance" means any unpaid invoice or approved charge that remains unpaid after its stated due date.

3.17 Service Hold

"Service Hold" means the Company's right to pause or refuse future scheduling, remove reserved appointments, suspend approved credit terms, require prepayment, or otherwise withhold additional service until the account is brought into acceptable standing.

3.18 Business Days and Timing

When this Agreement refers to timing before a scheduled appointment, the timing is measured from the scheduled start of the appointment unless a written addendum states otherwise.

3.19 Appliance Bundle Service

"Appliance Bundle Service" means focused cleaning of the specific residential appliances identified in the approved estimate, booking confirmation, Appliance Quarterly Plan setup, or other transaction-specific record. Appliance Bundle Service may be purchased as a one-time service or through an Appliance Quarterly Plan.

3.20 Appliance Quarterly Plan

"Appliance Quarterly Plan" means a recurring-payment arrangement with a maximum term of twelve months, composed of no more than four consecutive Appliance Service Cycles. Each Appliance Service Cycle includes three monthly payments and one corresponding quarterly appliance-cleaning visit. After the first Appliance Service Cycle, each subsequent cycle begins automatically unless the Client cancels automatic cycle renewal before the first payment of the next cycle is processed. The Appliance Quarterly Plan automatically expires after the fourth cycle and does not renew for another year without the Client's new affirmative enrollment and consent.

3.21 Appliance Service Cycle

"Appliance Service Cycle" means the three-month billing and service period used for an Appliance Quarterly Plan. A cycle begins when its first monthly payment is successfully processed. The first, second, and third monthly payments in that cycle collectively fund one quarterly appliance-cleaning visit, ordinarily scheduled during the month in which the third payment is due. Once an Appliance Service Cycle begins, all three monthly payments for that cycle constitute the minimum purchase obligation for that active cycle.

4. Service Classification System

The requested service is not automatically the final service classification.

The Company determines the correct service category based on actual site conditions, occupancy status, property use, construction status, project requirements, requested outcome, and other materially relevant facts.

The approved estimate or work order should identify the service category being sold. If actual conditions show that the selected category is not appropriate, the Company may reclassify the work into the proper service category and apply the changed-condition remedies described in this Agreement.

Commercial describes the account type, not necessarily the service family. A commercial client may receive Commercial Maintenance, Commercial Project Services, Construction / Post-Renovation Final Clean, or another approved category depending on the work.

5. Service Category Summaries

These summaries describe baseline included work and intended lane logic only. The approved estimate, work order, booking confirmation, recurring setup, proposal, or written revision controls the final Booked Scope.

5.1 Foundations Recurring

Foundations Recurring is recurring maintenance service for homes already maintained to the Company's baseline standard.

It is not first-clean service, catch-up service, heavy reset work, post-construction cleaning, pickup service, organizing labor, or unlimited detail work.

Baseline recurring scope includes light dusting of accessible furniture surfaces, reachable cobweb removal and light high dusting, spot cleaning of cabinet fronts and handles, limited exterior appliance wipe-down, stovetop surface cleaning, countertop cleaning, sink and faucet cleaning, mirror cleaning, routine toilet, tub/shower, vanity, and fixture cleaning, accessible baseboard dusting, floor cleaning, and emptying trash to the onsite bin.

Peace of Mind Deep Clean serves as the baseline-establishment or baseline-restoration service when a home is not currently within Foundations maintenance standards.

5.2 Peace of Mind Deep Clean

Peace of Mind Deep Clean is the occupied-home reset / one-time / catch-up / deep-clean service category.

Baseline scope includes reachable cobweb removal and high dusting, dusting of accessible furniture surfaces, cabinet fronts and handles, exterior appliance wipe-down, more detailed stovetop surface cleaning, countertop cleaning, sink and faucet cleaning, mirror cleaning, more detailed toilet/tub-shower/vanity/fixture cleaning, accessible baseboard dusting, floor cleaning, emptying trash to the onsite bin, and detail wipe-down of reachable door faces, door frames, trim, switch plates, and vent covers where visible dust or soil is present.

Interior appliances, cabinet interiors, window tracks, wall washing, pickup, organizing, trash-out, heavy odor, and specialty-surface concerns are add-on, by-quote, or custom review unless specifically approved.

5.3 Clean Slate Vacant Turnover

Clean Slate Vacant Turnover is the vacant-property turnover service category for move-in, move-out, resale prep, rental turnover, property-manager handoff, realtor/investor prep, or owner handoff.

Baseline scope includes reachable cobweb removal and high dusting, dusting of accessible empty-room surfaces, cabinet fronts and handles, exterior appliance wipe-down, stovetop surface cleaning, countertop cleaning, sink and faucet cleaning, mirror cleaning, toilet/tub-shower/vanity/fixture cleaning, interior closet wipe-down or vacuuming when empty, wipe-down of door frames and reachable trim, dry dusting of accessible baseboards, vacuum and wipe down of cabinet interiors/drawers, floor cleaning, and visible condition notes or obvious damage notes.

Interior appliances, trash/debris hauling, adhesive/paint residue, odor work, pest waste, and remediation-level conditions are not baseline turnover scope. Also note that the number of interior cabinets included is dependent on the size of the home, and includes up to 25 interior cabinets or drawers.

5.4 STR Furnished Turnover

STR Furnished Turnover is furnished but unoccupied guest-turn service.

Baseline scope includes reachable cobweb removal and high dusting, dusting of accessible furnished surfaces, cabinet fronts and handles, exterior appliance wipe-down, stovetop surface cleaning, countertop cleaning, sink and faucet cleaning, mirror cleaning, toilet/tub-shower/vanity/fixture cleaning, limited fixture dusting, limited window-sill dusting, limited door and frame dusting, accessible baseboard dusting, floor cleaning, trash to the onsite bin, visible condition notes, light restocking of client-supplied staged consumables, and bed sheet changes only when selected in the estimate, work order, or booking confirmation.

Laundry processing, inventory management, staging decisions, appliance interiors, deep seasonal reset, odor treatment, damage remediation, and heavy guest-load recovery are add-on or custom review unless specifically approved.

5.5 Construction / Post-Renovation Final Clean

Construction / Post-Renovation Final Clean is detailed post-renovation cleaning after active trade work is complete and the site is safe enough for ordinary cleaning operations. It includes dust removal and surface cleaning in completed finished rooms or zones, detail cleaning of exposed finished surfaces, fixture and trim cleaning in completed work areas, and floor cleaning in the completed construction areas listed in the estimate, work order, or booking confirmation.

Online construction cleaning is Final Clean only. Rough Clean, Final Clean, and Touch-Up Clean together are available only through custom consultation, site walk-through, custom estimate, and written approval.

Baseline Final Clean scope includes dust removal and surface cleaning in completed finished rooms or zones after active work is complete, reachable high dusting in completed work areas, dust detail on exposed cabinet fronts, dust removal from exposed appliance exteriors, surface dust removal from stovetop surfaces, post-construction detail cleaning of countertops, sink, faucet, mirrors, vanity, exposed bath/shower, toilet, and reachable installed fixtures in completed work areas, wipe-down or dust removal on reachable trim, doors, frames, and baseboards in completed work areas, detailed floor cleaning in completed construction zones, and empty closet dust removal only when the closet is empty, safe to enter, and listed in the estimate, work order, or booking confirmation.

Active jobsites, unsafe debris, unknown powders, lead/asbestos/silica concerns, mold, HVAC remediation, structural drying, demolition, reconstruction, paint removal, adhesive removal, grout haze, and contractor trash haul require custom review or referral.

5.6 Garage Organization

Garage Organization is a separate custom-quote service family. It is not governed as flat-rate house cleaning.

The Client is purchasing guided labor, physical help, sorting support, and organization assistance within defined boundaries. The Client is not purchasing unlimited haul-away, junk removal, disposal service, or a guaranteed end-state regardless of the amount and condition of stored items.

Typical included tasks may include sorting assistance, grouping like items, labeled-zone creation, basic staging, shelving wipe-down when listed in the estimate or work order, and physical organization help within the time, authority, and boundaries stated in the estimate or work order.

5.7 Commercial Maintenance

Commercial Maintenance is scheduled recurring commercial cleaning with an established service frequency, scope, and monthly service amount.

Examples may include office cleaning, retail cleaning, church cleaning, professional building cleaning, and similar light commercial work with a recurring service schedule and a written room-by-room or area-by-area task list established in advance.

Typical included tasks may include routine restroom cleaning, breakroom or kitchenette surface cleaning, touchpoint wiping, trash removal to onsite disposal points, floor care in accessible areas, and recurring maintenance cleaning of the rooms, suites, offices, or common areas listed in the estimate or work order.

5.8 Commercial Project Services

Commercial Project Services are one-time or project-based commercial jobs.

Examples may include vacancy turnover, tenant transition cleaning, post-renovation commercial cleaning, special-event recovery, or other custom-scoped one-time commercial work.

Commercial status does not convert a project-based service into recurring-maintenance pricing.

5.9 Appliance Bundle Service

Appliance Bundle Service is focused residential cleaning for the specific appliances included in the Client's selected bundle. The approved estimate, booking confirmation, Appliance Quarterly Plan setup, or other transaction-specific record controls the appliance combination, price, service date, and whether the service is one-time or recurring.

Baseline Appliance Bundle Service may include interior cleaning of the selected appliance cavities; cleaning of removable shelves, drawers, racks, grates, turntables, seals, and gaskets where applicable; cleaning of doors, handles, controls, and accessible exterior touch points; and vacuuming or wiping accessible appliance sides where the work can be performed safely without moving or disassembling the appliance.

Standard Appliance Bundle Service does not include appliance repair, appliance disassembly, tool-required filter removal, replacement-filter purchase, restoration-level buildup removal, hazardous or unknown material handling, pest or biological contamination, food sorting or disposal decisions, moving heavy appliances, or any task not identified in the Booked Scope.

Refrigerators and freezers must be prepared as stated in the transaction-specific record. When freezer cleaning is included, the Client is responsible for defrosting/de-icing the freezer before service unless another written arrangement is approved.

Oversized appliances, double ovens, unusual appliance configurations, unusually heavy buildup, unsafe conditions, or materially different conditions may require revised scope, revised pricing, rescheduling, or service reclassification under this Agreement.

6. Universal Scope Control and Service Integrity

The Company performs only the Booked Scope. Any room, task, add-on, result, or expectation not specifically included in the approved estimate, work order, booking confirmation, recurring setup, proposal, or written revision is not included.

The Company's service model emphasizes careful work, clear process control, documentation where useful, and disciplined scope management. It does not mean unlimited labor, undefined concierge work, unbounded pickup service, restoration promises, or a guarantee that every property can be brought to a like-new condition regardless of starting condition.

Add-ons, by-quote items, excluded work, and stop-refer conditions remain separate from baseline included scope. They should not be silently folded into a routine booking.

7. Service Reclassification and Changed Conditions

If actual conditions materially differ from what was represented at booking, the Company may pause before proceeding outside quoted assumptions.

That pause is a business-control step. It protects the Client from surprise work and protects the Company from being pushed into the wrong service type, wrong price, wrong risk profile, or unrealistic labor expectations.

When Materially Changed Conditions are found, the Company may:

  • reprice the work with approval,
  • rescope the work to priority areas,
  • reclassify the booking into the proper service category,
  • reschedule the work under a better-matched service plan,
  • or refuse / stop work when the conditions fall outside Company boundaries

The Company may document changed conditions in notes and, where policy allows, photos for quality control, quote defense, claim defense, and service recordkeeping.

The Company may also document visible conditions, existing damage, safety concerns, access issues, scope conditions, and other materially relevant on-site observations before, during, or after service.

8. Reach Limits, Access Limits, and Movement Limits

Routine cleaning is limited to surfaces and fixtures reachable up to 10 feet using approved company tools.

Heavy furniture and large appliances are not moved unless a separate written scope specifically covers that task. Accessible surrounding areas are cleaned instead. If a requested result depends on moving heavy items or reaching inaccessible areas, that result is not guaranteed.

Obstructed or inaccessible areas are not guaranteed.

The Company may open windows or exterior doors when operationally appropriate for airflow or ventilation, but the Company does not provide routine window-track cleaning that requires unlocking, opening, or manipulating windows for track-detail work unless specifically approved. Interior windows are add-on only unless specifically included. Exterior windows are excluded.

9. Results, Starting Condition, and No-Guaranteed-Outcome Rule

Cleaning results depend on starting condition, access, material type, time allocated, and Booked Scope.

The Company does not guarantee removal of permanent staining, etching, oxidation, corrosion, paint failure, finish failure, material deterioration, or damage caused by age, wear, neglect, poor maintenance, hidden defects, or improper installation.

Maintenance-style service assumes a maintenance-ready home. If a property has not been professionally cleaned within about 30 days, or if the condition materially exceeds normal maintenance buildup, the Client may need a deeper reset service before maintenance service can begin or resume responsibly.

The Company provides professional cleaning and organization services. It does not guarantee business, inspection, leasing, sale, occupancy, guest-satisfaction, regulatory, platform, reputation, investment, or revenue outcomes.

Payment is not contingent on guest reviews, host reviews, platform ratings, occupancy revenue, rental income, owner reviews, buyer feedback, inspection results by unrelated parties, marketplace penalties, or other third-party outcomes outside the Company's control.

10. Specialty Surfaces and Unknown Materials

The Client is responsible for disclosing Specialty Surfaces / Materials and any known care requirements before service begins.

If a material is unknown, uncertain, undisclosed, or appears high-risk, the Company may use more conservative methods, narrow the scope, clean around the area, request clarification, or decline detailed cleaning of that surface.

The Company is not responsible for damage to undisclosed Specialty Surfaces / Materials that required non-standard handling and were not reasonably identifiable before work.

11. High-Value Property and Non-Disturbance

High-Value Items are cleaned around by default.

Unless a separate written addendum specifically authorizes handling, the Company will not lift, move, wash, reset, or detail-clean High-Value Items.

The Client is responsible for identifying anything that should not be touched and for removing or securing those items where practical.

If a High-Value Item remains in an active work zone without clear written instruction, the Company may clean around it conservatively and may leave portions of the surrounding area only partially addressed rather than create avoidable risk.

If the Client wants the Company to handle, reposition, wipe, or clean a protected item directly, the Company may require a separate written addendum that defines exactly what handling is authorized, what the Company is and is not expected to do, and what risks remain.

12. Client Responsibilities

The Client shall provide accurate information about the property, current condition, service type, occupancy status, pets, access, fragile items, special instructions, and requested add-ons.

The Client shall provide safe and workable access at the scheduled time, secure pets or remain available to manage them, and reduce excessive clutter in active work zones so that reserved labor time can be spent on the Booked Scope rather than on preventable delays.

The Client shall also disclose known pre-existing damage, Specialty Surfaces / Materials, and any area requiring special handling.

The Client represents that the Company has permission to use ordinary on-site water and electrical service reasonably necessary to perform the booked work.

The Company does not provide hidden decluttering labor, dishwashing, laundry folding, or general pickup-after-you service unless a written service specifically creates that scope.

13. Property Access

If the Client is not present at the time of service, the Client is responsible for providing a working entry method.

The Company is not responsible for missed or disrupted service caused by locked doors, incorrect codes, alarm issues, inaccessible keys, building access failures, or other client-caused access problems.

If the Company cannot access the property within a reasonable arrival window, the appointment may be treated under the no-access and late-cancellation rules in this Agreement and any applicable transaction-specific record.

14. Payment Policy

14.1 General Rule

Payment is Due Upon Receipt unless written credit terms have been approved by the Company.

A 3-day grace period applies to invoices that are Due Upon Receipt unless different written credit terms have been approved. If payment is not received by the end of the 3rd calendar day after the invoice date, the Company may charge a one-time $35 late fee where permitted by law.

14.2 General Payment Rules

Applicable Arkansas state and local sales tax will be added where required by law.

A valid payment method is required on file for residential accounts and may be required for business or project accounts before service is confirmed.

No appointment is reserved until the required deposit or first required payment has been successfully processed.

The Company may use card-on-file charging, online invoicing, payment links, electronic payment requests, or other approved payment methods supported by its software and payment systems.

By authorizing payment or by booking service with a stored payment method, the Client authorizes the Company to charge approved deposits, approved recurring charges, approved invoices, earned late-cancellation fees, and other charges permitted by this Agreement and any applicable transaction record.

Once the Client has approved the service and the Company has rendered the agreed service, payment for that service is earned and non-refundable except where applicable law requires otherwise or where the Company chooses, in its discretion, to issue a credit, partial credit, courtesy adjustment, or corrective service.

Before initiating a chargeback or payment dispute on an approved charge, the Client agrees to make a good-faith effort to contact the Company and allow a reasonable opportunity to review the concern. Nothing in this paragraph waives any non-waivable rights the Client may have under applicable law or payment-network rules.

14.3 One-Time Service and Custom-Quote Jobs

One-time services and custom-quote jobs require a booking deposit equal to 50% of the total estimated invoice, including applicable sales tax, unless a different written structure is approved by the Company.

The remaining unpaid balance is Due Upon Receipt unless a different written payment structure has been approved by the Company.

This applies to:

  • one-time residential services,
  • project-based business-account services,
  • garage organization,
  • and other custom-quote jobs

unless a written exception says otherwise.

If the Client requests same-day scope additions and the Company has time to perform them, those added charges and applicable tax must be approved and paid the same day before the added work is performed.

14.4 Recurring Residential Billing

Recurring residential billing follows the service frequency approved in the Client's recurring setup.

Recurring residential service is billed monthly.

The Client authorizes the Company to charge the payment method on file according to the recurring billing schedule established for the account.

Recurring pricing assumes service continuity. Long pauses, repeated skips, materially changed conditions, or a loss of maintenance-ready condition may require a price review, reset service, schedule restructuring, or revised billing setup before recurring service continues.

14.4.1 Appliance Quarterly Plan Billing

An Appliance Quarterly Plan is billed in monthly installments according to the amount and payment schedule stated in the Client's Appliance Quarterly Plan setup. Applicable Arkansas state and local sales tax will be added where required by law.

Each Appliance Service Cycle consists of three consecutive monthly payments. Those three payments collectively fund one quarterly Appliance Bundle Service visit. The corresponding visit is ordinarily scheduled during the month in which the third payment is due and after the third payment has been successfully processed.

The first monthly payment begins the Appliance Service Cycle. Once that first payment is processed, the Client is committed to all three monthly payments for that active cycle. Cancellation of automatic cycle renewal prevents the next Appliance Service Cycle from beginning but does not rescind the active cycle, eliminate its remaining payment obligation, or cancel the visit funded by that cycle.

A one-time Appliance Bundle Service purchase is separate from Appliance Quarterly Plan enrollment and does not automatically enroll the Client in recurring billing. If the Client elects to enroll after a one-time appliance service, the first Appliance Service Cycle begins only after the Company issues a new or revised estimate that clearly identifies the Appliance Quarterly Plan, the Client signs that estimate, and the first recurring payment is processed.

If the Client enrolls directly in an Appliance Quarterly Plan without purchasing a separate one-time service first, the first plan-funded visit is ordinarily performed during the third payment month. Enrollment in the monthly plan does not create an immediate first visit unless a different written initial-payment structure is expressly stated and approved.

After the first Appliance Service Cycle, each later cycle begins automatically when its first monthly payment is processed unless the Client has canceled automatic cycle renewal. No more than four Appliance Service Cycles may begin under one Appliance Quarterly Plan.

The monthly price accepted at enrollment remains fixed during the plan's maximum twelve-month term unless the Client affirmatively agrees to a different amount. The plan automatically expires after the fourth Appliance Service Cycle and does not renew for another year without new affirmative enrollment.

Payments collected for an active Appliance Service Cycle are not refundable solely because the Client cancels automatic cycle renewal. Those payments remain applied to the final quarterly visit funded by that active cycle.

If the Company cannot provide a funded visit and cannot offer a reasonable alternative service date, the Company will refund the amount collected for that unperformed visit. Nothing in this paragraph requires a refund when the Company offered the funded service but the Client declined the service, failed to provide access, canceled within the applicable late-cancellation period, or otherwise prevented performance.

Revocation or termination of a stored-payment authorization does not, by itself, cancel an Appliance Quarterly Plan or eliminate an amount already contractually due for an active Appliance Service Cycle. After receiving an effective revocation of payment authorization, the Company will not initiate additional electronic charges through that authorization but may invoice the Client for an unpaid amount properly due for the active cycle, to the extent permitted by law.

14.5 Recurring Commercial Billing

Recurring commercial service is billed once monthly in advance. The monthly invoice is Due Upon Receipt unless written credit terms have been approved by the Company.

14.6 Business-to-Business / Project Account Billing

Property management, real estate, investor, short-term rental, construction, turnover, and similar business-to-business service accounts are project-based or work-order-based accounts unless a separate recurring commercial setup states otherwise.

Unless different written payment terms are approved by the Company, payment is Due Upon Receipt.

The Company may also require a valid card on file and a booking deposit before service is scheduled.

The party responsible for booking, approving, or requesting the service remains responsible for payment. Payment is not delayed or excused because of owner reimbursement, tenant reimbursement, escrow timing, insurance reimbursement, property sale timing, internal accounting procedures, third-party approval processes, property-management payment cycles, or other third-party payment arrangements.

14.7 Credit Terms and Net 15 Requests

Credit terms are not automatic. All new business accounts start on Due Upon Receipt terms unless the Company approves a different written structure.

The Company may review a written request for Net 15 terms after a satisfactory payment history has been established, typically after multiple completed invoices with no past-due balance, but approval remains in the Company's sole discretion.

Approved credit terms remain discretionary and may be modified, suspended, revoked, or returned to Due Upon Receipt status when the account no longer supports delayed payment risk.

14.8 Past-Due Invoices and Service Hold

An invoice becomes past due when payment has not been received by its stated due date.

Below $500, Service Hold is at the Company's discretion and may be applied at any past-due amount.

At $500 past due, Service Hold becomes automatic.

While an account is on Service Hold, the Company may refuse new bookings, pause scheduled services, remove reserved appointments, withhold future scheduling, suspend approved credit terms, require prepayment, require payment in full, or require a valid payment method on file before additional service is scheduled.

14.9 Failed Payments

If any required charge fails, the Client shall promptly provide an updated payment method.

The Company may place the account on Service Hold, pause future services, remove reserved appointments, suspend recurring service, or withhold future scheduling until the account is brought current.

The Client remains responsible for all approved charges, completed work, earned late-cancellation fees, and any amount already due under the booked service terms.

If a payment is returned, rejected, reversed, or fails because of insufficient funds, a closed account, incorrect account information, disputed ACH authorization, or a similar payment failure, the Client may be responsible for a $35 returned-payment or failed-payment administrative fee where permitted by law, plus any unpaid approved balance.

If a chargeback or payment dispute creates processor fees, dispute fees, retrieval fees, collection costs, or similar third-party costs, the Company may seek reimbursement of those costs to the extent permitted by law and payment-network rules.

14.10 Pricing Integrity and Quote Assumptions

All prices are based on the information provided at booking and on the assumption that the property reasonably matches the described condition and scope.

A quoted price is not a promise to perform materially different work for the same amount if the underlying assumptions turn out to be false.

15. Cancellation, Rescheduling, and No-Access

15.1 One-Day One-Time Services

For one-time residential appointments and any other one-day one-time service, if the Client cancels more than 72 hours before the scheduled appointment, the booking deposit will be refunded.

If the Client cancels within 72 hours of the scheduled appointment, the Company retains the booking deposit as a late-cancellation fee, capped at $500.

If the Client reschedules more than 72 hours before the appointment, the booking deposit may be transferred to the new date, subject to availability.

If the Client reschedules within 72 hours of the appointment, the request may be treated as a late cancellation, and a new booking deposit can be required to hold the new scheduled time.

If the Company approves a reschedule within the 72-hour window, that change is a one-time courtesy and does not reset or extend the original 72-hour cancellation clock.

15.2 Multi-Day and Project-Based One-Time Jobs

Any multi-day or project-based one-time job has a longer cancellation period of five business days.

If a multi-day or project-based job is canceled more than five business days before the scheduled start date, the booking deposit will be refunded.

If it is canceled within five business days of the scheduled start date, the Company may retain the booking deposit as a late-cancellation fee, capped at $500, and may also treat short-notice reschedules under the same five-business-day rule.

15.3 Recurring Residential Cancellation and Skip Rules

Recurring appointments reserve labor time just like one-time appointments do.

A recurring visit canceled more than 72 hours before the scheduled visit may be rescheduled or skipped according to availability and account status.

A recurring visit canceled within 72 hours may be treated as a late cancellation and charged according to the recurring setup, reserved labor block, or late-cancellation terms in effect for the account.

Repeated skip requests, repeated late changes, or long pauses may trigger a price review, schedule removal, or the need for a deeper reset service before recurring service resumes.

Recurring clients are paying not only for cleaning labor but also for continuity, routing, and reserved placement in the schedule. Repeated disruptions may change the economics of that relationship and may require the Company to restructure or end the recurring arrangement.

15.3.1 Appliance Plan Cancellation and Cycle Completion

The Client may cancel automatic cycle renewal for an Appliance Quarterly Plan through the Client Hub, by email at admin@cleanslatear.com, or by telephone at 479-388-0838. The Company will provide written confirmation of the cancellation request.

Cancellation of automatic cycle renewal is effective when received and prevents the next Appliance Service Cycle from beginning. If the cancellation request is received before the first payment of the next cycle is processed, that next cycle will not begin and no payments for that next cycle will be due.

If the cancellation request is received after the first payment of an Appliance Service Cycle has been processed, that cycle remains active. The remaining monthly payments for the active cycle remain due, and the Client remains entitled to the quarterly visit funded by that cycle. The plan ends after the active cycle and its corresponding visit are completed or otherwise resolved under this Agreement.

Cancellation of automatic cycle renewal does not automatically cancel the final funded visit. If the Client also wants to cancel or reschedule that visit, the Client must separately notify the Company.

A funded appliance visit rescheduled more than 72 hours before the appointment may be moved once, subject to availability, to a date ordinarily within 30 calendar days of the original appointment. A reschedule within 72 hours may be treated under the late-cancellation terms applicable to the account.

If the Client cancels the funded visit within 72 hours, declines the funded visit, fails to provide access, or does not accept a reasonable service date after the Company has offered reasonable scheduling options, the active-cycle payments remain non-refundable and the funded visit may be treated as forfeited to the extent permitted by law.

If the Company initiates the reschedule, the funded visit is not forfeited. The Company will offer a reasonable alternative date. If the Company cannot provide the funded service or a reasonable alternative, the amount collected for that unperformed visit will be refunded.

The written cancellation confirmation should identify the date the cancellation request was received; whether an Appliance Service Cycle is currently active; any remaining active-cycle payment dates and amounts; the final funded service date or scheduling status; the date on which the plan will end; and confirmation that no later Appliance Service Cycle will begin.

An Appliance Quarterly Plan automatically expires after its fourth Appliance Service Cycle. Continued service beyond that point requires new affirmative enrollment and does not occur automatically.

15.4 Commercial Cancellation and Disruption Rules

Commercial service reserves production time, route capacity, and calendar space that the Company may not be able to refill on short notice.

Commercial no-access, denied-entry, or repeated scheduling disruption may also be treated as a billable interruption under the commercial service agreement if the Company has already reserved labor and travel capacity for that visit.

15.5 No-Access

If the Company cannot access the property within a reasonable arrival window because of locked doors, failed codes, alarms, inaccessible keys, or other client-caused access failures, the appointment may be treated under the applicable no-access or late-cancellation rules.

Time spent waiting for access, obtaining access, resolving access issues, conducting extended walkthroughs, or discussing same-day scope changes reduces productive service time available for the Booked Scope.

15.6 Company-Initiated Rescheduling

If the Company must reschedule because of staff illness, weather, unsafe travel conditions, emergencies, equipment failure, or other conditions outside the Company's reasonable control, the Company will make reasonable efforts to place the Client in the next practical opening.

A Company-initiated reschedule does not waive these policies for future Client-initiated changes.

15.7 Force Majeure and Events Outside Reasonable Control

The Company is not liable for delay, rescheduling, limited performance, or inability to perform caused by weather, natural disasters, utility failures, public emergencies, governmental actions, unsafe travel conditions, labor shortages, equipment failures, building access restrictions, or other circumstances outside the Company's reasonable control.

When practical, the Company will make reasonable efforts to notify the Client and place the service in the next practical opening or otherwise discuss a reasonable adjustment.

16. Construction and Project-Specific Rules

16.1 Construction Final-Clean Structure

Online construction cleaning is a Final Clean only.

Rough Clean, Final Clean, and Touch-Up Clean together are available only through custom consultation, site walk-through, custom estimate, and written approval.

16.2 Waste and Debris Rule

The Company does not provide dumpster service, off-site hauling, or construction waste disposal.

When construction debris is present, the Client or responsible contractor shall provide and maintain appropriate waste-disposal capacity, including a dumpster or other approved waste container.

16.3 Final-Clean Readiness

The Construction Final Clean is intended for properties where construction work, installation work, and punch-list corrections requiring trade access have been completed.

The property must be substantially complete, utilities must be available, and no additional dust-generating, debris-generating, repair, installation, sanding, cutting, painting, drilling, caulking, grouting, flooring, drywall, electrical, plumbing, HVAC, cabinetry, appliance, or similar trade work should remain scheduled before the Final Clean begins.

For construction and post-renovation work, utilities available means continuous hot and cold running water, functioning interior electrical service reasonably usable for normal cleaning equipment, safe usable access to those utilities, and ventilation or HVAC adequate for normal cleaning operations when needed for dust control, air movement, or product use.

16.4 Touch-Up Clean Limits

The Touch-Up Clean is one scheduled return visit only. It is not a repeat Final Clean and does not include cleaning caused by contractor re-entry, trade work, deliveries, new dust, debris, or other post-service activity.

A Touch-Up Clean, when approved in writing, is a single scheduled return visit after the Final Clean. It is intended for final presentation needs after walkthroughs, inspections, photography, appraisal activity, owner review, or handoff traffic.

The Touch-Up Clean may include naturally settled airborne dust after the Final Clean, fingerprints associated with normal walkthrough or presentation activity, limited footprints or traffic marks associated with inspection, owner review, photography, appraisal, or handoff activity, and final presentation preparation consistent with a property that has remained substantially complete and service-ready after the Final Clean.

The Touch-Up Clean does not include cleaning caused by continued construction activity, punch-list corrections, trade re-entry, repair work, installation work, material deliveries, material storage, construction dust, drywall dust, sanding dust, paint work, flooring work, mud, heavy soil, packaging waste, construction debris, new residue, or contamination introduced after the Final Clean.

The Client or responsible contractor chooses when the Touch-Up Clean is performed. The Company provides one Touch-Up Clean visit only unless additional visits are separately quoted and approved.

After the Touch-Up Clean is complete, the Company is not responsible for conditions created by later entry, inspection, trade work, occupancy, deliveries, owner activity, contractor activity, or other post-service activity.

If site conditions upon arrival reasonably exceed the expected condition of a completed Final Clean requiring limited turnover preparation, the Company may pause the visit, reclassify the work as an additional Final Clean or other chargeable service, and present revised scope and pricing for approval before work continues. If the revised scope or price is not approved, the Company may decline to proceed and the visit may be treated under the applicable cancellation or reserved-time rules.

17. Service-Specific Operating Rules That Must Survive

17.1 STR Turnover Notes

For STR turnover service, the Company may document visible conditions observed at the time of service. Any damage, staining, or property condition identified and communicated to the Client before or during cleaning is established as pre-existing to the Company's service visit.

The Company does not provide laundry service for STR linen turnover. The Client is responsible for maintaining a rotating linen supply. A minimum of two sets per bed is required to support turnover service. Clean linens must be accessible and ready before the visit begins.

Light restocking of Client-supplied consumables may be performed only when supplies are staged on-site by the Client and the task is included in the approved scope. The Company does not purchase, source, or provide supplies.

17.2 Recurring Residential Continuity and Benefits

Recurring residential service is a maintenance system, not a rescue service.

If service is paused, skipped, or interrupted long enough for the property to materially exceed the maintenance baseline, the Company may require a Deep Reset Service before recurring service resumes.

The Company provides an arrival window rather than a guaranteed exact arrival time for recurring residential service.

Recurring residential service may include limited recurring-service benefits tied to active recurring status and continuity. These benefits do not create an unlimited promise of extra work at every visit and do not expand the Booked Scope beyond the specific recurring benefit stated by the Company.

Where offered in the approved recurring setup, one standard bed-linen change event may be included per eligible recurring visit, and one standard interior refrigerator cleaning may be offered after each completed 6-month period of continuous recurring service. Continuity-based benefits may reset after significant service interruption, cancellation, nonpayment, or another disqualifying break.

17.3 Garage Organization Notes

Garage organization depends heavily on Client decisions.

Unless another written authority structure is approved, the Client shall be available during the project to answer keep, discard, relocate, or donate decisions within a reasonable time.

The Company does not make disposal decisions for the Client unless the Client is present and directing those decisions or has provided clear delegated authority in advance.

When the Client gives keep, discard, relocate, donate, staging, grouping, or other organization instructions, the Company may rely on those instructions and is not responsible for the consequences of Client-directed decisions, including later regret, retrieval difficulty, placement dissatisfaction, donation outcome, or disposal outcome.

The Company does not provide junk hauling, unlimited dump runs, hazardous-waste disposal, chemical disposal, ammunition handling, firearm handling, controlled-substance disposal, biohazard cleanup, mold remediation, pest cleanup, repair work, mechanical work, or restoration services.

The Company will not handle unknown hazardous items, leaking containers, sharp uncontained hazards, unsafe electrical conditions, rodent-heavy contamination, or other unsafe materials or environments.

17.4 Commercial Account Notes

The Client shall identify an Authorized Contact with decision-making authority for commercial accounts.

The Client shall identify sensitive areas, restricted areas, protected records, server rooms, and any written limitations on access or handling.

Unless otherwise stated in writing, the Client shall provide facility consumables such as paper towels, toilet paper, and soap refills.

The Client shall remove or secure confidential documents and sensitive materials from cleaning zones unless the written scope specifically states how those areas are handled.

The Company is not responsible for documents, cash, inventory, records, electronics, keys, badges, access devices, or other business assets left unsecured in active work areas.

Recurring commercial service is generally structured as a monthly service relationship unless a different written format is approved.

If a recurring commercial monthly service cycle is canceled more than 72 hours before the first scheduled cleaning of that cycle, the monthly payment will be refunded in full.

If a recurring commercial monthly service cycle is canceled within 72 hours of the first scheduled cleaning of that cycle, the Company may retain or charge a late-cancellation fee equal to 50% of the scheduled service cycle price, capped at $500.

If the Company has already started work for that monthly service cycle before the cancellation is made, charges may be prorated based on work already performed, labor already committed, or site visits already completed, in addition to any non-refundable reserved-time amount already earned under the scheduling terms.

18. Damage, Claims, and Liability

18.1 Claims Window

Any missed-area concern, within-scope completion concern, or damage claim believed to involve the Company's service must be reported within 24 hours of service completion. Photos should be provided when possible.

Prompt reporting matters because conditions change quickly after a visit. Delayed reporting makes it harder to separate an actual service-caused issue from later household activity, trades, pets, occupancy, or ordinary continued use.

18.2 Missed Area Review and Callback Opportunity

If the Client believes a specific area within the Booked Scope was missed or that an item within the approved scope was not reasonably completed, the Client must notify the Company within the same 24-hour reporting window.

If the concern appears to be within scope and supported by the facts, the Company may return within a reasonable timeframe to address the missed area or within-scope completion concern at no additional charge.

This callback opportunity does not apply to out-of-scope requests, obstructed or inaccessible areas, pre-existing damage, permanent staining, changed conditions after service, or outcomes limited by material deterioration.

18.3 Pre-Existing Condition Rule

The Company is not responsible for damage caused by pre-existing wear, improper installation, unstable fixtures, poor prior repairs, age-related failure, hidden defects, or material deterioration that was already present.

For turnover services specifically, conditions identified, documented, and communicated during the service visit are established as pre-existing to that visit.

18.4 Limitation of Liability

To the fullest extent allowed by law, the Company's total liability for a claim directly arising out of a specific service visit is limited to the amount actually paid for that specific service visit.

To the fullest extent allowed by law, the Company is not liable for indirect, incidental, special, consequential, exemplary, or speculative damages, including lost profits, loss of use, business interruption, replacement-use losses, emotional-distress claims not otherwise recoverable by law, or alleged reputation damage tied to a service issue.

Except where applicable law requires otherwise, the Client's exclusive remedy for a covered service-related claim shall be, at the Company's election, re-performance of the affected service, reasonable repair, reasonable reimbursement, or refund up to the amount paid for the service visit giving rise to the claim.

18.5 Company Response Process

When a claim is reported, the Company may inspect the concern, review documentation, compare the issue against the Booked Scope and job notes, and determine whether the reported issue appears to be within scope and supported by the facts.

An appropriate response may include a callback for a missed area or within-scope item that the Client reasonably believes was not completed, a repair attempt when reasonable, reimbursement in an amount the Company determines is appropriate, insurance reporting when applicable, or denial of the claim when the facts do not support liability.

19. Client Disclosure Duties

The Client shall disclose specialty surfaces, delicate finishes, fragile items, known pre-existing damage, pets, access issues, occupancy status, and any condition that may materially change labor, safety, price, or product choice.

For move-in / move-out service, the Client shall accurately disclose whether the property is truly vacant.

For garage organization or other custom-quote work, the Client shall disclose heavy items, hazardous storage, unstable shelving, sharp hazards, pest issues, decision-making limitations, and any item category the Company should not touch.

If a material issue is not disclosed before service and the omission changes labor, safety, liability, or product choice, the Company may revise the scope, revise the price, narrow the work, reschedule, or decline service.

20. Client Preparation Guide

Before service, the Client should clear excessive clutter from floors, counters, sinks, tubs, showers, and other active work areas so the surfaces being paid for are actually accessible.

The Client should put away medications and small loose items that are easy to knock over, misplace, or slow down by repeated handling. This includes toiletries, cosmetics, paperwork, cords, toys, small electronics, loose decor, and similar personal items.

The Client should secure pets or remain present and available to manage them.

The Client should make sure the entry method works and that any gate codes, garage instructions, alarm notes, parking information, or building access details have been provided before arrival.

If the Client will be home during the visit, the Client should remain reasonably available for quick same-day clarification questions.

21. Photo and Media Use

The Company may take before-and-after photos for internal documentation, quality control, training, quote defense, claim defense, and service recordkeeping.

The Company may use close-up before-and-after images without a separate signed photo-use agreement only when the image does not reasonably identify the Client, the address, or the location and does not depict a readily identifiable person.

Any photo or video that is not a truly non-identifying close-up will not be used for marketing, advertising, website, social media, portfolio, or promotional purposes without a signed written photo-use agreement.

A Client may decline marketing use of identifying media by refusing to sign a photo-use agreement.

22. Communications and SMS

By submitting a contact form, requesting an estimate, booking services, authorizing work, or otherwise providing a mobile phone number to the Company, the Client consents to receive service-related communications by phone, email, and text message.

Service-related purposes may include estimates, scheduling, appointment reminders, access issues, service updates, invoices, payment reminders, customer support, review requests, and follow-up related to requested or completed services.

Message frequency varies based on service status and account activity. Message and data rates may apply. Clients may reply STOP to opt out of SMS messages where supported.

The Company does not sell mobile opt-in information or SMS consent and does not share mobile opt-in information or SMS consent with third parties for their marketing purposes.

Marketing or promotional text messages, if used, require consent where required by law and are not required in order to purchase services.

SMS delivery may depend on the Client's carrier, device, message settings, and the Company's software providers. The Company is not responsible for carrier delays, blocked messages, unavailable mobile service, or a Client's failure to receive a message when the Company used a reasonable communication method.

23. Privacy

The Company may collect and use information such as name, email address, phone number, service address, billing address, access instructions, service notes, condition details, scheduling information, estimate information, invoice/payment status, and payment-related information handled through third-party processors.

The Company uses this information to respond to inquiries, prepare estimates, schedule service, perform work, process payments, send invoices, communicate with clients, document service issues, maintain records, support customer service, improve operations, and meet tax, accounting, insurance, or legal obligations.

The Company does not sell personal information.

Third-party software providers may process payments, estimates, scheduling, messaging, hosting, analytics, and related business functions under their own security and privacy terms.

The Company retains records as reasonably needed for service history, accounting, insurance, dispute review, legal compliance, and business operations. Clients may contact the Company to request a reasonable correction or update to their information.

24. Refusal, Suspension, and Termination

The Company may refuse, suspend, or terminate service for nonpayment, unsafe conditions, suspected hazardous materials, abusive behavior, materially misrepresented conditions, repeated access failure, or requests that fall outside Company boundaries.

Stopping or refusing service does not waive payment already due for reserved time, completed work, approved charges, or applicable cancellation fees.

Either party may end an ongoing recurring service relationship upon written notice. Ending the relationship does not remove fees already incurred, charges already authorized, or cancellation consequences for visits already scheduled within the governing notice window.

Appliance Quarterly Plan cancellation, cycle completion, minimum payment obligations, final funded visits, and automatic plan expiration are governed by Sections 14.4.1 and 15.3.1. Those specific provisions control over any inconsistent general recurring-service termination language in this Section.

25. Governing Law, Electronic Records, and Acceptance

This Agreement and any dispute arising out of or relating to the Company's website, estimates, invoices, bookings, services, payments, or policies are governed by Arkansas law, without regard to conflict-of-law rules.

If any part of this Agreement is found unenforceable, invalid, or inapplicable in a particular circumstance, the remaining parts remain in effect to the fullest extent allowed by law.

Any unenforceable provision shall be interpreted as closely as possible to its intended commercial purpose while remaining lawful.

Before filing a claim, the parties agree to make a good-faith effort to resolve the dispute informally by written notice and reasonable discussion.

If the dispute is not resolved informally, either party may request mediation or binding arbitration to the extent permitted by law. Unless the parties agree otherwise in writing, arbitration shall be conducted on an individual basis only, and neither party may bring or participate in a class, collective, consolidated, or representative action against the other. Either party may still bring an individual claim in small claims court if the claim qualifies.

The Client agrees that estimates, approvals, invoices, payment authorizations, recurring setups, notices, and signatures may be created, delivered, stored, and accepted electronically. An electronic signature, online approval, emailed approval, texted approval tied to the transaction, payment authorization, or other electronic manifestation of assent has the same legal effect as a handwritten signature to the fullest extent allowed by law.

The Client agrees to this Agreement by requesting an estimate, approving an estimate or work order, signing electronically, authorizing payment, accepting recurring setup terms, or permitting the Company to begin work.

The Client further agrees that the approved service category, price, add-ons, exclusions, and service notes in the Company's estimate, work order, booking confirmation, recurring setup, proposal, or written revision form part of this Agreement.

25.1 Express Appliance Quarterly Plan Enrollment and Consent

The general acceptance methods described elsewhere in this Agreement do not, by themselves, enroll a Client in an Appliance Quarterly Plan.

Before an Appliance Quarterly Plan begins, the Company will provide an Appliance Quarterly Plan estimate that clearly and conspicuously states the plan-specific terms, and the Client must sign that estimate before the first recurring charge is processed. The terms must include:

  • the selected appliance bundle;
  • the monthly charge and charge frequency;
  • the three-payment Appliance Service Cycle;
  • the quarterly service-delivery schedule;
  • the automatic beginning of each subsequent cycle unless canceled;
  • the three-payment minimum purchase obligation after a cycle begins;
  • the cancellation methods;
  • the effect of cancellation on an active cycle;
  • the treatment of active-cycle payments;
  • the maximum twelve-month term; and
  • automatic expiration after the fourth Appliance Service Cycle

The Client's handwritten or electronic signature on an estimate that expressly identifies the Appliance Quarterly Plan and clearly presents the plan-specific terms listed above constitutes the Client's affirmative acceptance and express consent to those terms. The signed estimate authorizes the Company to create the corresponding recurring-plan and billing setup, but the signature alone does not enroll or activate the Client's plan.

After receiving the signed estimate, the Company will manually create the plan in its approved scheduling and billing systems. Enrollment and activation occur only after the Company completes that setup and sends the Client written confirmation that the plan is active. The Company will not process a recurring charge before both receiving the signed estimate and activating the plan. The first recurring payment will be processed according to the accepted payment schedule after or as part of activation, and the Company will then schedule the corresponding plan-funded quarterly visit.

A signature on a one-time Appliance Bundle Service estimate that does not expressly include the Appliance Quarterly Plan terms does not enroll the Client in the plan. Silence, failure to reject an offer, requesting an estimate, using the website, signing only the general Master Service Agreement, accepting an unrelated service, or merely having a payment method on file does not constitute Appliance Quarterly Plan enrollment.

With the written activation confirmation, the Company will provide the Client with a retainable copy of the signed estimate or a separate retainable acknowledgment identifying the accepted plan terms, cancellation policy and methods, and Company contact information. The activation confirmation may serve as that acknowledgment when it contains the required information. The Company will retain the signed estimate and verification of the Client's consent for at least three years, or one year after the plan is terminated, whichever period is longer, and for any longer period required by applicable law.

Renewal after the plan's automatic one-year expiration requires a new Appliance Quarterly Plan estimate and a new Client signature. Completion of the prior plan, failure to request cancellation, or continued possession of a payment method on file does not enroll the Client in a new annual plan.
